Terms of Service

1. The Service

Demo Log is a web-based tool for music producers to track their productions, manage label submissions, and organise their release pipeline. The Service includes a free tier with usage limits and a paid Pro tier with additional features.

2. Accounts

• Eligibility: You must be at least 16 years old to create an account and use the Service.
• Account security: You are responsible for maintaining the security of your account credentials. You must not share your password with others. Notify us immediately at hello@demo-log.com if you suspect unauthorised access.
• Accurate information: You agree to provide accurate and current information when creating your account and to keep it up to date.
• One account per person: Each user should maintain only one account. We reserve the right to merge or remove duplicate accounts.

3. Free and Pro Plans

Free plan: Provides access to core features with the following limits:

• Up to 5 tracks
• Up to 5 labels
• No CSV export
• No audio file uploads
• External audio links only (e.g. SoundCloud)

Pro plan: A one-time purchase that unlocks unlimited usage of all features, including audio file uploads, CSV export, and unlimited tracks, labels, and versions.

We reserve the right to modify the features included in each plan. If we make changes that materially reduce the functionality of the Pro plan, existing Pro users will retain the features available at the time of their purchase.

4. Payments and Refunds

• Pro license: The Pro plan is a one-time purchase processed by Lemon Squeezy. By completing a purchase, you agree to Lemon Squeezy's terms of service.
• License key: Upon purchase, you will receive a license key that activates Pro features on your account. Each license key is valid for one account.
• Refunds: If you are unsatisfied with the Pro plan, you may request a refund within 14 days of purchase by contacting us at hello@demo-log.com. Refunds are issued at our discretion and processed through Lemon Squeezy. After 14 days, purchases are non-refundable.
• VAT: All prices are inclusive of applicable VAT. Lemon Squeezy handles VAT calculation and collection for UK and EU customers.

5. Your Content

• Ownership: You retain full ownership of all content you upload to or create within Demo Log, including audio files, track metadata, production notes, label information, and submission records ("Your Content").
• No rights claimed: Demo Log does not claim any intellectual property rights over Your Content. We do not license, sublicense, sell, or distribute Your Content to any third party.
• License to operate: By uploading content, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely for the purpose of providing the Service. This license terminates when you delete Your Content or your account.
• Audio files and private links: If you use the private link sharing feature, you acknowledge that anyone with the link can access the audio file. You are responsible for sharing links only with intended recipients.
• Responsibility: You are solely responsible for Your Content. You represent that you have the necessary rights to upload any content and that it does not infringe the intellectual property rights of any third party.

6. Acceptable Use

You agree not to use the Service to:

• Upload content that you do not have the right to use or distribute
• Upload content that is unlawful, defamatory, abusive, or infringes on the rights of others
• Attempt to access other users' data or accounts
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for any purpose other than its intended function
• Use automated tools to scrape, crawl, or extract data from the Service
• Resell or redistribute access to the Service without our written permission

We reserve the right to suspend or terminate accounts that violate these terms.

7. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled outages, or factors outside our control.

We are not liable for any loss or damage resulting from Service downtime.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Key points:

• Your data is stored securely with row-level security ensuring per-user isolation
• We have administrative access to the database for maintenance and support purposes only
• We will never browse, download, or use your content for any purpose other than operating the Service
• You can export your data and delete your account at any time

9. Intellectual Property

Our IP: The Demo Log name, logo, design, and application code are owned by us. You may not copy, modify, distribute, or create derivative works without our written permission.

Feedback: If you provide suggestions, feature requests, or feedback, you grant us a non-exclusive, royalty-free license to use, implement, and incorporate that feedback into the Service without obligation to you.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be error-free, secure, or uninterrupted
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid for the Pro license, or GBP 50, whichever is greater
• We are not responsible for any loss of data, although we take reasonable measures to prevent data loss

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

11. Account Termination

By you: You may delete your account at any time from the Settings page. Upon deletion, all your data will be permanently removed within 30 days.

By us: We may suspend or terminate your account if you violate these Terms. Where possible, we will provide notice and an opportunity to export your data before termination.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date, notify registered users by email, and post a notice within the application.

Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you should stop using the Service and delete your account.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
